The terms and conditions contained herein shall govern your online registration, attendance at and/or participation in the ADAPT International Convention organised by Adapt Ventures Sdn Bhd (Company Registration No.: 1252836-V) of VSQ Block 4, Level 7, Unit 1, Jalan Utara, Bandar Petaling Jaya, 46200 Selangor Darul Ehsan (ADAPT, ‘we’ or ‘us’) and held on 14 to 17 December 2021 (the Convention).
These terms and conditions, together with the Disclaimer and Privacy Policy (together the Terms and Conditions) represent the whole agreement and understanding between ADAPT and the person who submits the registration form via online registration on the applicable website (the Registrant, or ‘you’) in respect of all matters referred to herein.
PLEASE READ THESE TERMS AND CONDITIONS CAREFULLY. By signing up/registering for the Convention and submitting information to ADAPT through the applicable website registration form, you signify that you have read, understood, accept and agree to be bound by these Terms and Conditions. Completion of the online registration form confirms the Registrant’s agreement to abide and be bound by these Terms and Conditions. If you do not agree with these Terms and Conditions or do not wish to be bound by these Terms and Conditions, please do not register, attend or participate in the Convention.
By registering for the Convention, you hereby represent and warrant that you have all necessary authority, rights and permissions to submit, send, or upload all information, data, text, music, sound, photographs, images, graphics and video messages, the selection and arrangement thereof, and all source code, software compilations, documents, and any other material (hereinafter collectively referred to as the Materials) to the website/registration platforms used by the Convention and at the Convention as you may undertake to do. You represent and undertake with ADAPT that the Materials do not and will not infringe or misappropriate any copyright, trademark, trade secret, patent or other intellectual property right of any third party, including any rights of privacy or publicity, and the Materials do not and will not violate any applicable law or regulation.
If you are registering on behalf of another person, it is your obligation to make sure that the person attending the Convention is aware of these Terms and Conditions and agrees to accept and be bound by them. By completing and submitting the registration form you are representing and warranting that you have made the person attending aware of these Terms and Conditions and that they have accepted these Terms and Conditions.
These Terms and Conditions apply to you from the date of publishing and until these Terms and Conditions are superseded by a new version. ADAPT may in its absolute discretion update and/or change any or all of these Terms and Conditions for any reason whatsoever. Such changes or modifications shall be made effective for all Registrants upon posting of the modified Terms and Conditions on the applicable website. You are responsible for reading the Terms and Conditions from time to time to ensure that your registration, attendance or participation in the Convention remains in compliance with the Terms and Conditions. Your continued use of the website and/or your participation in the Convention after the posting of any updated Terms and Conditions shall constitute your agreement to be bound by such changes.
Upon completion of your online registration, you will receive a confirmation email from us with our confirmation of receipt of payment together with a copy of the receipt. The confirmation email will be sent to the email address provided in the registration form.
Your ticket will be provided to you at a later date in the form of a QR Code and/or e-ticket which can be used to gain entry to the Convention. PLEASE TAKE NOTE THAT one (1) ticket admits one individual only.
All registration costs referred to are in US Dollars (USD) and all payments must be made in US Dollars. No other currency will be accepted. Full payment of the registration fees shall be settled in advance.
Registration of your participation in the Convention is only confirmed once the required payment has been received and the receipt has been issued.
Digital invoices will be sent to you upon completion of the online registration. The invoice will be issued using the contact particulars provided in the registration form. Please make sure you have provided us with true, accurate, current and complete information in your registration form.
We reserve the right, in our absolute discretion, to contact you from time to time by way of e-mail, text messages, or phone call. Any notice sent to the email address registered shall be deemed as received by the Registrant.
We will not entertain nor be in any way responsible for any dispute arising from incomplete details submitted in the registration form and/or payment portal.
We will endeavour to make sure that the Convention program is accurate at the time of publishing. You hereby acknowledge and agree that circumstances which are beyond our reasonable control may occur and which may necessitate substitutions, alterations, postponements, or cancellations to the content, nature, format, themes, name, performers, hosts, moderators, platform, channels, date or timing of the Convention, and in such situations no refunds, part refunds or alternative offers shall be made.
We will endeavour to notify you as soon as reasonably practicable of any substitutions, postponements, or changes by posting the updated information on our website.
In the unlikely event of cancellation of the Convention, our total aggregate liability to you is limited to the refund of paid registration fees that remain after credit card, taxes (if applicable) and payment processing fees have been incurred and deducted, and we will not be liable to you for any expenditure, damage or loss directly or indirectly incurred by you as a result of the cancellation. The Registrant takes part in the Convention at their own risk.
In the event the Convention is deferred or postponed in any manner whatsoever due to any reason whatsoever, there will be no refund of any paid fee. However, participants will be able to join the Convention on the rescheduled date announced by ADAPT with the same tickets purchased prior to the initial scheduled date. We will not be liable to you for any expenditure, damage or loss incurred by you and/or any damages or losses suffered by you as a result of any postponement. The Registrant shall register and take part in the Convention at his or her own risk.
By attending the Convention, you acknowledge and agree that the Convention (or any part of it) may be photographed or recorded by us or our partners and sponsors. You agree to permit us, or any third party licensed by us, to use, distribute, broadcast, or otherwise globally disseminate your likeness, name, voice and words in perpetuity on the internet and on television, radio, film, newspapers, magazines and other media now available and hereafter developed, both before, during and any time after the Convention, and in any form, without any further approval from you or any payment to you. This grant includes, but is not limited to, the right to edit the media, the right to use the media (alone or together with other information), and the right to allow others to use or distribute the media.
We, in our sole discretion, and without any liability or obligation to refund, reserve the right to refuse admittance to or to eject from the Convention anyone that we deem:
During the Convention, you shall conduct yourself in an orderly manner and shall not act in any manner which causes offence, annoyance or inconvenience to other participants/guests/invitees/attendees. Registrants shall not conduct or attempt to conduct virtual canvass, promote, advertise or solicit for business in a manner which, in our sole discretion, is deemed unacceptable. You agree to comply with all applicable laws in connection with your attendance or participation at the Convention.
You will find details of ticket pricing and fees for the Convention on our website. Ticket prices for the Convention are accurate at the time of publication. We reserve the right to change the ticket price/registration fee at any time without notice but any changes will not affect tickets that have already been purchased.
We may from time to time offer certain discounted ticket promotions to encourage attendance at the Convention. We are not obligated to offer any discounts to any specific person and reserve the right to change or withdraw a discount offer at any time in our sole discretion.
Your ticket remains our property and is a personal revocable license, which may be withdrawn at any time in our absolute discretion. Admission to the Convention may be refused at any time by ADAPT at its absolute discretion without any liability on the part of ADAPT. In the event admission is refused, our total aggregate liability to you, if any, is strictly limited to the refund of paid registration fees that remain after credit card, taxes (if applicable) and payment processing fees have been incurred and deducted, and we will not be liable to you for any expenditure, damage or loss incurred by you as a result of the refusal of the admission to the Convention.
The ticket purchased by you is for your own personal use or business use only. It shall not be resold or transferred (whether in consideration for money or other payment in kind, or otherwise) under any circumstances, including but not limited to for use as part of any promotions or competition, without the prior written consent of ADAPT.
Reselling or otherwise transferring your ticket in breach of these Terms and Conditions will void the ticket and the ticket holder shall NOT be allowed access into the Convention. Where there has been any resale or attempted resale or transfer of any tickets (or any other breach of this term), we reserve the right to cancel the relevant tickets with immediate effect without any compensation, whether in the form of refund or otherwise, to you and/or the ticket holder.
We reserve the right to cancel any ticket purchase made by any person or body whom we reasonably believe to be associated with any ticket re-selling or ticket broker.
All information and content available on our website, registration form or these Terms and Conditions as well as all presentations, information and materials made available during the Convention (hereinafter collectively referred to as the Content) is protected by copyright and other intellectual property laws. The intellectual property rights to the Content are owned by ADAPT, its affiliates, the speakers or sponsors of the Convention, or other third-party licensors and suppliers, as applicable (hereinafter collectively referred to as the Licensors). The Content is intended for personal and non-commercial use only. You may not copy, edit, vary, reproduce, sell, publish, distribute, modify, display, store, transmit, perform, re-post or otherwise commercially exploit, disseminate in any form whatsoever or use any portion of the Content in any other way or for any other purpose without the prior written consent of ADAPT.
Nothing in these Terms and Conditions shall vest in you any legal or beneficial right in or to any intellectual property rights owned by the Licensors or grant to you any right or licence to any other intellectual property rights of the Licensors. All such intellectual property rights shall remain the exclusive property of the Licensors.
It is strictly forbidden for any company, organisation, or person to attempt to host or organise any event in conjunction with, contiguous to, or purporting to be related to, the Convention or ADAPT without the express prior written consent and cooperation of ADAPT. We reserve the right to take action, legal or otherwise, as we may deem appropriate in such event.
You acknowledge that any trademark(s), service mark(s), trade name(s), logo(s), symbol(s), brand name(s) and other proprietary mark(s) or any combination of the aformentioned (hereinafter collectively referred to as the Marks) contained in our website or on the Content are owned by ADAPT or other Licensors. You agree that you will not use, copy, edit, vary, reproduce, publish, display, distribute, store, transmit, commercially exploit or disseminate the Marks without the prior written consent of ADAPT or the relevant Licensor. You further agree that you will not alter or remove any Mark, copyright or other notice from any copies of the Content.
You acknowledge that ADAPT possesses absolute and exclusive proprietary rights in the Marks “ADAPT” in Malaysia and elsewhere and the goodwill in the said Marks will remain the sole property of ADAPT.
Please note that all software programming, including without limitation all HTML and other code contained on the website (hereinafter collectively referred to as the Software) is owned by ADAPT or other Licensors and is protected by copyright laws and other intellectual property laws, as well as international treaty provisions. Any unauthorised access to, reproduction, redistribution, publication, display or other use of the Software is expressly prohibited by law and may result in severe civil and/or criminal penalties. Violators will be prosecuted to maximum extent possible.
YOU AGREE TO FULLY INDEMNIFY, RELEASE, DEFEND AND HOLD ADAPT, ITS OFFICERS, DIRECTORS, EMPLOYEES, AND REPRESENTATIVES HARMLESS FROM AND AGAINST ALL CLAIMS, DEMANDS, LAWSUITS, LIABILITY, LOSS, JUDGMENTS OR OTHER EXPENSE (INCLUDING, BUT NOT LIMITED TO, DEFENSE COSTS, EXPENSES AND SOLICITOR-CLIENT FEES) MADE OR IMPOSED UPON ADAPT ARISING OUT OF ANY ALLEGATIONS OF INJURIES TO DAMAGES TO PROPERTY, DAMAGES FOR LIBEL, VIOLATION OF THE RIGHT OF PRIVACY, PLAGIARISM, COPYRIGHT INFRINGEMENT, AND ANY OTHER CLAIMS, DAMAGES OR INJURIES OF WHATSOEVER KIND OR NATURE, ALLEGED TO BE SUFFERED OR SUFFERED BY THIRD PARTIES, INCLUDING BUT NOT LIMITED TO ANY FINE, PENALTY, COMPENSATORY OR PUNITIVE DAMAGES THAT DIRECTLY OR INDIRECTLY ARISE FROM (A) ANY DISTRIBUTION, PUBLICATION, REFUSAL TO PUBLISH, REMOVAL, DELETION, MOVEMENT, EDITING OR OTHER USE OF THE CONTENT OR THE MATERIALS YOU PROVIDE; (B) YOUR USE OF THE WEB SITE AND/OR PARTICIPATION IN THE CONVENTION; (C) YOUR BREACH OF THESE TERMS AND CONDITIONS; AND/OR (D) ANY ACTUAL, PROSPECTIVE OR TERMINATED SERVICES OR TRANSACTION BETWEEN YOU AND A THIRD PARTY.
We are not liable if the Convention is, in whole or in part, cancelled, rescheduled or postponed, or for any failure or delay to perform our obligations under these Terms and Conditions, if such event results from anything beyond our reasonable control (for example, natural disasters, flood, fire, acts of terror, war, pandemic, epidemic, labour strike, extreme weather malicious damage, compliance with any law or governmental order, or mechanical, electronic or communications failure or degradation, or any other emergency; including, for the avoidance of doubt, the Covid-19 pandemic) or anything else that renders performance of the Convention, in whole or in part, impracticable, illegal or impossible.

The interpretation, formation and operation of these Terms and Conditions and all non-contractual obligations arising from or connected with them shall be governed by and construed in accordance with the laws of Malaysia. All disputes between the parties arising out of or in any way relating to these Terms and Conditions, or any disputes between the parties in any way connected with the subject matter of these Terms and Conditions (whether contractual or non-contractual), shall be governed by the laws of Malaysia. You hereby unconditionally submit to the exclusive jurisdiction of the Kuala Lumpur High Court or the Kuala Lumpur Subordinate Court, as the case may be.
Nothing contained in this clause shall limit our right to bring enforcement proceedings in another jurisdiction or to seek interim, protective or provisional relief in the courts of another jurisdiction.
These Terms and Conditions, together with the Disclaimer and Privacy Policy contain the entire agreement and understanding between ADAPT and the Registrant in respect of all matters which are referred to herein and supersede any prior, written or oral agreement between the parties relating to such matters. You confirm that in agreeing to accept these Terms and Conditions you have not relied on any representation that is not expressly included herein, and you agree that you shall have no remedy in respect of any misrepresentation which has not become a part of these Terms and Conditions. However, nothing in these Terms and Conditions purports to exclude liability for any fraudulent statement or act.
Any term, condition, stipulation, provision, covenant or undertaking in these Terms and Conditions which is illegal, void, prohibited or unenforceable shall be ineffective to the extent of such illegality, voidness, prohibition or unenforceability, without invalidating the remaining provisions hereof, and any such illegality, voidness, prohibition or unenforceability shall not invalidate or render illegal, void, or unenforceable any other term, condition, stipulation, provision, covenant or undertaking herein contained. Failure by ADAPT to enforce any provision of these Terms and Conditions will not be deemed a waiver of future enforcement of that or any other provision of these Terms and Conditions.
These Terms and Conditions are personal to you. You agree not to assign or transfer your rights or obligations under these Terms and Conditions to anyone else without ADAPT’s prior written consent. We may assign or transfer these Terms and Conditions without your consent by providing you with notice.
Neither these Terms and Conditions, nor any terms and conditions contained herein, shall be construed as creating a partnership, joint venture or agency relationship or as granting a franchise between ADAPT and the Registrant.
To the extent allowed by law, the English language version of the Terms is binding, and any translations are for convenience only.
